Outline of Lecture Course This seminar intends to present the students with the major legal issues in the field of international commercial law, with a specific focus on international commercial contracts. Transactions across borders pose a series of unique problems that require a knowledge of legal mechanisms going beyond the national legal system. Starting from the very definition of what a "contract" is, this seminar will present and discuss issues such as the applicable law; jurisdiction; international conventions on contracts; soft law instruments of harmonization.
Course Objectives This seminar aims to provide students with the basic "toolbox" to face international commercial contracts. Students will learn how to approach international (whether bi-national or multi-national) negotiations and contract-drafting. The seminar will include practical exercises (such as contract drafting) to help students learn skills useful for their future professional life
